Welcome to Murmur. These Terms of Service ("Terms") govern your access to and use of the Murmur platform and services ("Service") provided by Murmur AI, Inc. ("Murmur," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Description of Service
Murmur is a culture analytics platform that analyzes behavioral signals from workplace tools to provide organizational health insights. The Service collects and processes behavioral metadata—such as communication patterns, response times, and collaboration networks—from integrated platforms like Slack, Google Workspace, and Microsoft Teams. Murmur does not access or store the content of messages or files.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service to violate any applicable law or regulation
- Access the Service to build a competitive product or service
- Reverse engineer, decompile, or attempt to derive the source code of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
- Use the Service to harass, abuse, or harm others
- Resell, sublicense, or redistribute the Service without our written consent
4. Customer Data
You retain all rights to the data you provide to the Service ("Customer Data"). By using the Service, you grant Murmur a limited license to process Customer Data solely to provide and improve the Service.
We process only behavioral metadata from your integrated platforms. We do not access, store, or analyze the content of messages, files, or documents. Murmur does not use data to make automated decisions affecting individual employment status, and insights are provided at aggregate levels only. 5. Third-Party Integrations
The Service integrates with third-party platforms including Google Workspace, Slack, and Microsoft Teams. Your use of these third-party services is governed by their respective terms and privacy policies. Murmur is not responsible for the availability, accuracy, or practices of any third-party service.
Murmur's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Privacy and Security
We take the privacy and security of your data seriously. Our practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
We implement appropriate technical and organizational measures to protect Customer Data, including encryption in transit and at rest, access controls, and regular security assessments.
7. Intellectual Property
The Service, including all software, algorithms, designs, and documentation, is owned by Murmur and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
You retain ownership of your Customer Data. Murmur may use aggregated, anonymized data that does not identify you or any individual to improve the Service and generate industry benchmarks.
8. Fees and Payment
Certain features of the Service require payment. Fees are specified when you subscribe and are subject to our published pricing. Unless otherwise stated:
- Fees are billed annually in advance
- All fees are non-refundable except as required by law
- We may change pricing with at least 60 days' notice before your next renewal
If you have entered into a separate agreement with Murmur, the payment terms in that agreement will control.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Insights provided by the Service are for informational purposes and should not be the sole basis for employment decisions.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MURMUR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MURMUR IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify and hold harmless Murmur and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Term and Termination
These Terms remain in effect until terminated. You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason with reasonable notice.
Upon termination, your right to use the Service will immediately cease. We will retain or delete your Customer Data in accordance with our Privacy Policy and any applicable agreement.
13. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
15. General
Entire Agreement. These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Murmur regarding the Service. If you have entered into a separate Master Service Agreement with Murmur, that agreement will control to the extent of any conflict.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
